What is a ready-made company and what are its advantages?

A ready-made company is a firm already registered in the Commercial Register, with an assigned company ID (IČO) and fully paid-up share capital, that has never traded. Its main advantage is time — you can start doing business, sign contracts or enter tenders almost immediately, without waiting weeks to form a new company. It saves you both time and the hassle of incorporation.

Do ready-made companies have any history?

No. Our ready-made companies have never carried out any business activity — they were founded solely to wait for a new owner. Their real history therefore begins only when they are transferred to you. You get a clean entity with no past, no liabilities and no risk of hidden earlier relationships.

Is buying a ready-made company safe and are they debt-free?

Accepted Answer

Yes. Every company we offer is vetted, has never traded and carries no liabilities or debts. The transfer runs through a standard share transfer agreement with officially verified signatures, so you have full legal certainty. You are buying a clean, safe entity ready for immediate use.

How fast does the company transfer take?

Accepted Answer

We usually hand over the complete signed documents within 24–48 hours of receiving your details. The actual registration of the changes (new owner and director) in the Commercial Register then takes a few days, depending on the court's workload. You can, however, start doing business under the company almost immediately after signing.

Is a notary required for the transfer?

Accepted Answer

The share transfer agreement must always have officially verified signatures, which you can obtain at the post office (Czech POINT), at a notary or at the registry office. A full notarial deed is only required if you also change the company name, move the seat outside Prague, split the share among several shareholders or change the business activity. We are happy to arrange all of these changes for you.

What share capital do ready-made companies have?

Since 2014 the legal minimum share capital of an s.r.o. has been just CZK 1. Our ready-made s.r.o. companies, however, have capital at a standard level — for example CZK 20,000 or CZK 200,000 — always fully paid up. A higher paid-up capital looks more credible to banks and business partners.

Can I change the name, seat and business activity?

Accepted Answer

Yes. The name, registered seat and business activity can all be changed during the transfer to suit your needs. In such cases the transfer includes a notarial deed, which we prepare and arrange for you on a turnkey basis. You get the company exactly in the form you need.

Question 8

What does 'VAT payer' mean and why buy a company that already is one?

Accepted Answer

A VAT payer is an entity registered for value added tax — it adds VAT to its prices and can also deduct VAT on its purchases. Obtaining your own VAT registration for a new company can take several weeks and is scrutinised by the tax office. By buying a company that is already a VAT payer you avoid that wait and paperwork.

Can I pay for the company online?

Yes. After your order is approved we issue an invoice that you can conveniently pay online. Once the payment arrives you receive all documents by e-mail and in your user account. You can complete the whole ordering process from the comfort of your home.

Can I buy a joint-stock company (a.s.) or a European company (SE)?

Accepted Answer

Yes. In addition to s.r.o. we also offer joint-stock companies (a.s.) and European companies (SE). The share capital of an a.s. is CZK 2,000,000 by law and is fully paid up in our companies. These forms are suited above all to larger projects, bringing in investors or a more prestigious market presence.

Which is better — a ready-made company or founding a new bespoke one?

A ready-made company is ideal when you need to start quickly — you have a ready IČO and paid-up capital almost immediately. Founding a new bespoke company makes sense when you want the firm exactly to your specification from scratch and time is not pressing. We handle both — we offer new company formation as a service from CZK 6,990.

Are there any hidden fees in the price?

Accepted Answer

No. The prices of our ready-made companies and services are shown transparently on the website and we tell you them upfront, before you order. The price covers the standard transfer; any non-standard individual steps (such as a name change or moving the seat) are always agreed in advance. So you will never face an unexpected fee after signing.
